Standard Terms

  • The client explicitly waives its own standard terms and conditions, even if such terms were issued after these General Terms and Conditions of Sale.
  • Any variation, amendment, or exception to these terms shall only be valid if expressly agreed upon in writing by both parties in advance.

Scope of Obligation

  • Happy Hoisters, Inc. undertakes to perform all services in a professional and timely manner, in accordance with the agreed work schedule.
  • All obligations of Happy Hoisters, Inc. are best-effort commitments and shall not be construed as a guarantee of specific results or outcomes.
  • Under no circumstance shall Happy Hoisters, Inc. be required by the Client to act or appear as a third party in any dispute, complaint, or claim for damages filed against the Client by an end user or consumer.

Safety and Delivery Conditions

  • In the event of unsafe or unforeseen conditions—including but not limited to adverse weather, unsafe worksite environments, or force majeure events—Happy Hoisters, Inc. reserves the right to defer or reschedule service delivery until such time that conditions are deemed safe and suitable to proceed.

Product Return Policy

  • If the delivered item differs from the specifications in the Purchase Order, the client must:
    • Notify Happy Hoisters, Inc. within seven (7) days from the date of delivery;
    • Submit a Product Return Form; and
    • Ensure that the product is unused, free from wear or physical damage, and in good, sellable condition.
  • Happy Hoisters Inc. reserves the right to refuse returns that do not meet these conditions.
  • Returns will not be accepted for change of mind or for indent/special-order items.
  • Items not returned within the two-day grace period will be processed only under manufacturer warranty claims, subject to verification.

Warranty Exclusions

  • Common wear parts and consumables are excluded from warranty claims.
  • Wear parts are components that naturally deteriorate through normal use (e.g., abrasion, corrosion, fatigue, or aging).
  • Examples include, but are not limited to:
    1. Hoses
    2. Seals and gaskets
    3. Bushings, bearings, and rollers
    4. Shock absorbers and springs

Payment Terms

  • All sales invoices are payable on a Cash on Delivery (COD) basis unless another payment term is expressly stated on the invoice.
  • In the event of non-payment by the due date, Happy Hoisters, Inc. reserves the right to suspend all services and deliveries without prior notice.
  • Interest on late payments shall accrue at a rate of twelve percent (12%) per annum, computed from the invoice date until full settlement.
  • If any amount remains unpaid ninety (90) days after the due date, Happy Hoisters, Inc. reserves the right to endorse the account to a licensed collection agency.
  • All related legal and collection expenses, including an additional twenty-five percent (25%) surcharge on the outstanding amount, shall be borne by the Client.

Tax Withholding

  • Certain transactions in the Philippines are subject to withholding tax (WHT) in accordance with Bureau of Internal Revenue (BIR) regulations.
  • Any applicable WHT shall be deducted and remitted by the Client to the BIR, with the corresponding BIR Form 2307 (Certificate of Creditable Tax Withheld at Source) furnished to Happy Hoisters, Inc. within the legally prescribed period.
  • Under no circumstances shall Happy Hoisters, Inc. be liable for costs, taxes, or deductions arising from the client’s local tax legislation or jurisdiction.
  • The full invoice amount, net of any duly supported WHT, remains payable to Happy Hoisters, Inc.

Effectiveness and Governing Law

  • This Service Level Agreement (SLA), including these General Terms and Conditions, shall take effect upon acknowledgment and signature by both parties and shall remain valid throughout the warranty period and any related service commitments.
  • Both parties affirm that they have read, understood, and voluntarily agreed to the terms and conditions contained herein. No verbal agreements, representations, or undertakings shall have any effect unless confirmed in writing and signed by authorized representatives of both parties.
  • This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
  • In the event of any dispute arising from or relating to this Agreement, the parties shall first endeavor to resolve the matter amicably and in good faith. Should resolution not be reached within a reasonable period, the dispute shall be submitted to the exclusive jurisdiction of the proper courts of the City of Manila, Philippines, to the exclusion of all other venues.


The aforementioned above applies to all the services provided by Happy Hoisters, Inc.
